Welcome to Jarvika Infosolutions! These Terms and Conditions govern the business relationship between you (the “Client”) and Jarvika Infosolutions (“Company,” “we,” “us,” or “our”), a company based in Jaipur, India, specializing in web and mobile app development services. By engaging our services, you agree to the following terms:
1.1 Scope of Work: The specific services to be provided by Jarvika Infosolutions will be outlined in a mutually agreed Statement of Work (SOW) document. The SOW will detail the project requirements, timelines, deliverables, and any other specific terms relevant to the project.
1.2 Changes to Scope: Any modifications to the original scope of work must be documented and approved by both parties. Additional fees may apply for changes outside the initial scope.
1.3 Project Completion: The project will be considered complete when all deliverables outlined in the SOW have been provided and accepted by the Client.
2.1 Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information shared during the course of the project. This includes, but is not limited to, business plans, technical specifications, code, designs, and any other sensitive information.
2.2 Obligations: Jarvika Infosolutions and the Client shall not disclose any confidential information to third parties without prior written consent from the other party. This obligation remains in effect even after the completion of the project.
2.3 Exceptions: The confidentiality obligations do not apply to information that is publicly available or becomes publicly known through no fault of either party.
3.1 Advance Payment: The Client agrees to make an advance payment as specified in the SOW before the commencement of the project. This payment is non-refundable.
3.2 Payment Schedule: Payments shall be made as per the agreed-upon milestones detailed in the SOW. Any delays in payment may result in a delay in project delivery.
3.3 No Refund Policy: Once the advance payment is made and the project has commenced, there will be no refunds provided for any partial or full payments made.
4.1 Ownership: Upon full payment, all intellectual property rights related to the work produced by Jarvika Infosolutions for the Client will be transferred to the Client. Jarvika Infosolutions retains the right to showcase the work in its portfolio unless otherwise agreed upon.
4.2 Third-Party Components: Any third-party software, tools, or components used in the project will be subject to their respective licensing terms. The Client agrees to abide by these terms.
5.1 Limitation of Liability: Jarvika Infosolutions shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the services provided.
5.2 Force Majeure: Jarvika Infosolutions will not be held responsible for any delays or failures in project delivery due to circumstances beyond our control, including but not limited to natural disasters, strikes, or technical failures.
6.1 Governing Law: These terms and conditions shall be governed by and construed in accordance with the laws of India.
6.2 Jurisdiction: Any disputes arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts located in Jaipur, India.
7.1 Termination by Client: The Client may terminate the project at any time by providing written notice. However, no refunds will be issued for any payments made up to the point of termination.
7.2 Termination by Company: Jarvika Infosolutions reserves the right to terminate the project if the Client fails to meet payment obligations or breaches any terms outlined in this agreement.
8.1 Entire Agreement: These terms and conditions, along with the SOW and NDA, constitute the entire agreement between the parties and supersede any prior agreements or understandings.
8.2 Amendments: Any changes to these terms must be made in writing and signed by both parties.
8.3 Severability: If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
By engaging with Jarvika Infosolutions, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
